There are three jobs, in the order that actually holds up:

If the ducts or the air handler are in the attic, foam at the roof deck is usually the job. It brings that equipment inside the conditioned envelope instead of leaving it in 130 to 160 degree air. If the attic is empty storage and the ceiling plane is the real boundary, blown-in to R-38 is enough.
Sometimes. If the existing material is dry and intact, it can stay. If it is wet, moldy, compressed, or contaminated, it comes out first. Covering bad insulation with good insulation buries the problem instead of fixing it.
